By accessing or using XTERWISE ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including visitors, registered users, and business account holders.

XTERWISE provides an AI-powered financial management platform that includes: • Financial dashboard and reporting tools • Invoice creation and management • Inventory tracking and management • E-commerce integration and analytics • AI-powered financial insights and forecasting • Third-party integrations with accounting, payment, and commerce platforms We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

To use XTERWISE, you must create an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Keep your password secure and confidential • Notify us immediately of any unauthorized access to your account • Accept responsibility for all activities that occur under your account You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

XTERWISE offers subscription-based plans. By subscribing: • You authorize us to charge your payment method on a recurring basis • Subscriptions automatically renew unless cancelled before the renewal date • Annual plans are billed upfront for the full year • Refunds are available within 14 days of initial purchase for new subscriptions • Downgrading your plan takes effect at the next billing cycle • We reserve the right to change pricing with 30 days' notice All fees are exclusive of applicable taxes, which you are responsible for paying.

You agree not to use the Service to: • Violate any applicable laws or regulations • Upload or transmit malicious code, viruses, or harmful content • Attempt to gain unauthorized access to our systems or other users' accounts • Engage in data scraping, crawling, or automated data extraction without permission • Use the Service for money laundering, fraud, or other financial crimes • Impersonate any person or entity • Interfere with or disrupt the integrity or performance of the Service Violation of these terms may result in immediate account termination.

You retain full ownership of all data you upload or create within XTERWISE ("Your Data"). By using the Service, you grant XTERWISE a limited, non-exclusive license to: • Store, process, and display Your Data to provide the Service • Use aggregated, anonymized data to improve our platform • Generate AI insights based on Your Data We will never sell Your Data to third parties or use it for advertising purposes.

The Service, including its design, features, code, and content (excluding Your Data), is owned by XTERWISE and protected by intellectual property laws. You may not: • Copy, modify, or distribute our software or content • Reverse engineer or attempt to extract source code • Create derivative works based on our platform • Use our trademarks or branding without written permission

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XTERWISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. XTERWISE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Financial data and AI insights provided by XTERWISE are for informational purposes only and do not constitute financial, legal, or tax advice.

Either party may terminate these Terms at any time. Upon termination: • Your access to the Service will be immediately revoked • You may export your data within 30 days of termination • After 30 days, your data will be permanently deleted • Outstanding fees remain due and payable We may terminate your account immediately for violations of these Terms without prior notice.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

We may update these Terms periodically. We will provide at least 30 days' notice for material changes via email or in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
